Terms of Service

These Terms of Service ("Terms") govern your use of the TutorNest application and related services ("the Service"), provided by FLY SKY PTY LTD ("we", "us"), a company registered in Australia. By downloading, accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Licence
Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use TutorNest on devices you own or control, for your own tutoring or coaching business. You may not copy, modify, distribute, sell, reverse engineer, or attempt to extract the source code of the Service except as permitted by law.
2. Subscriptions and billing
TutorNest offers a free trial period, after which continued use of paid features requires a subscription. Subscriptions are sold and billed through Apple's App Store and are subject to Apple's terms. Pricing is shown in the App Store and may vary by region. Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period. You manage and cancel your subscription through your Apple ID settings. Except where required by law or by Apple's policies, payments are non-refundable.
3. Your content and responsibilities
You are responsible for the data you enter into TutorNest, including student names, contact details, schedules and financial records, and for having a lawful basis to record and, where applicable, share that information. You are responsible for the accuracy of invoices and amounts you generate. You agree to keep your device, password and encrypted backups secure; because TutorNest is local-first, we cannot recover data stored only on your device or backups we do not hold.
4. Acceptable use
You agree not to use the Service to: violate any law; send unsolicited, harassing, deceptive or unlawful communications through the reminder or invoice features; infringe the rights of others; attempt to gain unauthorised access to the Service or its infrastructure; or interfere with its operation. You are solely responsible for messages and invoices you choose to send to parents and students.
5. Third-party services
Optional features rely on third parties, including Apple (distribution and billing), our email delivery provider (reminders and invoice emails), and Stripe (online payments). Your use of those features is also subject to those parties' terms. We are not responsible for the acts or omissions of third-party providers.
6. Availability
The core, local-first functionality of TutorNest is designed to work offline on your device. Cloud features such as the Parent Portal, email reminders and online payments depend on connectivity and third-party services and may be unavailable from time to time. We may modify, suspend or discontinue any cloud feature with reasonable notice where practicable.
7. Disclaimer
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your specific requirements. TutorNest is a record-keeping tool and does not provide legal, tax, accounting or financial advice. Nothing in these Terms excludes rights you may have under the Australian Consumer Law or other non-excludable consumer guarantees.
8. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, revenue or profits, arising out of or relating to your use of the Service. Where our liability cannot be excluded but can be limited, our total aggregate liability to you is limited to the amount you paid us for the Service in the twelve months preceding the claim.
9. Termination
You may stop using the Service at any time and cancel your subscription through Apple. We may suspend or terminate your access if you breach these Terms. On termination, the licence granted to you ends; data stored locally on your device remains yours.
10. Governing law
These Terms are governed by the laws of Australia, and you submit to the non-exclusive jurisdiction of the courts of Australia, without regard to conflict-of-laws principles.
11. Changes
We may update these Terms from time to time. Material changes will be reflected by updating the date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

2. 订阅与计费
TutorNest 提供免费试用期，试用期结束后，继续使用付费功能需要订阅。订阅通过 Apple App Store 销售与计费，并受 Apple 条款约束。价格在 App Store 中显示，并可能因地区而异。除非在当前周期结束前至少 24 小时取消，否则订阅将自动续费。你通过 Apple ID 设置管理与取消订阅。除法律或 Apple 政策要求外，款项不予退还。
3. 你的内容与责任
你对录入 TutorNest 的数据负责，包括学生姓名、联系方式、课表与财务记录，并应具有记录以及在适用情况下共享该信息的合法依据。你对所生成账单与金额的准确性负责。你同意妥善保管你的设备、密码与加密备份；由于 TutorNest 本地优先，对于仅存储在你设备上的数据或我们并不持有的备份，我们无法恢复。
4. 可接受使用
你同意不利用本服务：违反任何法律；通过提醒或账单功能发送未经请求的、骚扰性的、欺骗性的或违法的通信；侵犯他人权利；试图未经授权访问本服务或其基础设施；或干扰其运行。对于你选择向家长和学生发送的信息与账单，你承担全部责任。
5. 第三方服务
可选功能依赖第三方，包括 Apple（分发与计费）、我们的邮件投递服务商（提醒与账单邮件）以及 Stripe（在线支付）。你对这些功能的使用同样受相应第三方条款约束。我们不对第三方服务商的作为或不作为负责。
6. 可用性
TutorNest 的核心本地优先功能设计为可在你的设备上离线工作。家长门户、邮件提醒与在线支付等云端功能依赖网络连接与第三方服务，可能不时不可用。在可行情况下，我们可在合理通知后修改、暂停或停止任何云端功能。
7. 免责声明
在法律允许的最大范围内，本服务按“现状”与“现有”提供，不附带任何明示或默示的保证。我们不保证本服务不中断、无错误，或满足你的特定需求。TutorNest 是一款记录工具，不提供法律、税务、会计或财务建议。本条款中的任何内容均不排除你依据《澳大利亚消费者法》或其他不可排除的消费者保障所享有的权利。
8. 责任限制
在法律允许的最大范围内，对于因你使用本服务而产生或与之相关的任何间接、附带、特殊、后果性或惩罚性损害，或任何数据、收入或利润的损失，我们概不负责。在我们的责任不能排除但可以限制的情况下，我们对你的累计责任总额以你在索赔前十二个月内为本服务向我们支付的金额为限。
9. 终止
你可随时停止使用本服务，并通过 Apple 取消订阅。若你违反本条款，我们可暂停或终止你的访问权限。终止后，授予你的许可即告结束；存储在你设备本地的数据仍归你所有。
10. 适用法律
本条款受澳大利亚法律管辖，你服从澳大利亚法院的非排他性管辖，且不考虑法律冲突原则。
11. 变更
我们可能会不时更新本条款。重大变更将通过更新上方日期予以体现。变更生效后你继续使用本服务，即表示接受修订后的条款。
